General Terms & Conditions (GTC)

Effective Date: 27 July 2026

These General Terms & Conditions („GTC“) govern all services provided by B.Briki & Cie Consulting („Consultant“) to its clients („Client“), unless otherwise agreed in writing.


1. Scope

These GTC apply to all consulting, advisory, analytical, strategic, interim management, project management, executive advisory, business development and related professional services provided by B.Briki & Cie Consulting.

Conflicting or deviating terms of the Client shall not apply unless expressly accepted in writing by the Consultant.


2. Formation of Contract

A contract is concluded upon written acceptance of a proposal, execution of a service agreement, or commencement of the agreed services.

Quotations remain non-binding unless expressly designated otherwise.


3. Services

Consulting services are provided independently and with professional care based on the information available at the time of engagement.

Unless expressly agreed in writing, the Consultant does not owe any specific commercial, financial, operational or strategic outcome.

Recommendations constitute professional opinions based on the information supplied by the Client.


4. Client Responsibilities

The Client shall provide complete, accurate and timely information required for the performance of the engagement.

The Client remains solely responsible for business decisions implemented on the basis of the Consultant’s recommendations.

Delays caused by missing information may extend agreed project timelines.


5. Fees

Fees are determined individually in the engagement letter or proposal.

Unless otherwise agreed:

  • invoices are payable within fourteen (14) calendar days;

  • all prices are exclusive of applicable VAT;

  • travel expenses and external costs may be charged separately.

Late payments may accrue statutory interest.


6. Changes to Scope

Additional work requested by the Client that exceeds the agreed scope shall be invoiced separately based on the applicable daily or hourly rates unless otherwise agreed.


7. Intellectual Property

All methodologies, frameworks, concepts, templates, reports, analyses, presentations, software, graphics, documentation and other work products developed by the Consultant remain the intellectual property of B.Briki & Cie Consulting unless expressly transferred in writing.

The Client receives a non-exclusive, non-transferable licence to use the deliverables solely for its internal business purposes.

Redistribution, resale, publication or commercial exploitation without written permission is prohibited.


8. Confidentiality

Both parties undertake to treat all confidential information obtained during the engagement as strictly confidential.

This obligation survives termination of the contractual relationship.

Confidential information does not include information that:

  • is publicly available;

  • was already lawfully known;

  • has been independently developed;

  • must be disclosed by law.


9. Data Protection

Personal data shall be processed in accordance with the GDPR and applicable German data protection legislation.

Where required, separate Data Processing Agreements (DPAs) shall be concluded.


10. Third-Party Information

The Consultant may rely upon information supplied by the Client or third parties without independently verifying its accuracy unless expressly agreed otherwise.


11. Limitation of Liability

The Consultant shall be liable without limitation only in cases of:

  • intent;

  • gross negligence;

  • injury to life, body or health;

  • mandatory statutory liability.

For ordinary negligence, liability shall be limited to foreseeable damages typically arising from the contractual relationship.

Liability for indirect damages, lost profits, business interruption, consequential losses or lost opportunities is excluded to the fullest extent permitted by law.


12. Force Majeure

Neither party shall be liable for delays or failure to perform resulting from circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, governmental actions, cyber incidents, labour disputes or failures of telecommunications infrastructure.


13. Termination

Either party may terminate ongoing engagements in accordance with the contractual notice period.

Termination shall not affect payment obligations for services already rendered.


14. Compliance

Both parties undertake to comply with all applicable laws, including anti-corruption, sanctions, anti-money laundering and data protection regulations.


15. Independent Contractor

The Consultant acts as an independent contractor.

Nothing in these Terms creates any employment, partnership, agency or joint venture relationship.


16. Governing Law

These Terms shall be governed exclusively by the laws of the Federal Republic of Germany.


17. Jurisdiction

Where legally permissible, the exclusive place of jurisdiction shall be Munich, Germany.


18. Severability

Should any provision of these Terms become invalid, illegal or unenforceable, the remaining provisions shall remain fully effective.

The invalid provision shall be replaced by a lawful provision that most closely reflects its original economic purpose.


19. Entire Agreement

These General Terms & Conditions, together with any proposal, engagement letter or separate written agreement, constitute the entire agreement between the parties regarding the relevant engagement.

Purpose

B.Briki & Cie Consulting maintains a zero-tolerance approach towards bribery, corruption, fraud, facilitation payments, and other unethical business practices. We are committed to conducting all business activities honestly, transparently, and in compliance with applicable anti-corruption laws.
